Terms of Use

Please read these Terms of Use (“Agreement”) carefully before using TERNARIX™, including the Ternarix website (ternarix.com), Chrome browser extension, web platform, and any related services provided by Nichido Solutions Inc. (collectively, the “Ternarix Services”). By accessing or using any part of the Ternarix Services, you agree to be bound by this Agreement. If you do not agree, you may not use the Ternarix Services.

1. The Ternarix Service

Ternarix is a visual alphabet system that converts each English letter into a compact ternary symbol: a stack of three blocks (solid, dotted, or empty). When letters are placed side by side, they form unique visual shapes for every word.

The Ternarix Chrome extension overlays these ternary symbols on top of any webpage you visit, allowing you to train yourself to recognise word shapes alongside standard text. The Ternarix website provides a landing page, educational content, and interactive tools (such as the name visualiser).

Ternarix does not modify, store, or transmit the content of the webpages you visit. The extension processes text locally within your browser to render the ternary overlay.

2. Experimental Status

Ternarix is currently in an experimental phase (“Experiment”). Features, functionality, availability, and the service itself may change, be limited, or be discontinued at any time without prior notice. By participating in the Experiment, you acknowledge that the service is provided on an “as available” basis and that there is no guarantee of continued availability or future feature parity.

3. Service Plans and Pricing

The core Ternarix service is free for personal, non-commercial use during the Experiment phase. The features you use today will remain free. Your learning progress and the functionality you already have access to will never be locked behind a paywall.

We may introduce optional paid premium features in the future, but these will always be additions on top of the free experience. You will never be charged without your explicit agreement, and all pricing and terms will be clearly presented before any purchase.

4. Your Licence to Use Ternarix

Subject to your compliance with this Agreement, Nichido Solutions Inc. grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the Ternarix Services for your personal, non-commercial purposes. You may not share, sell, sublicence, or transfer this licence to others. If you breach these Terms, your licence terminates immediately and you must uninstall the extension and cease all use.

5. Ownership

Ternarix, including all software, designs, trademarks, patents (pending), the ternary encoding system, and associated content, is owned by Nichido Solutions Inc. and its licensors. All rights not expressly granted in this Agreement are reserved.

6. Licence Restrictions

You agree not to:

• reverse engineer, decompile, or attempt to discover Ternarix’s source code;
• distribute, sell, lease, or sublicence Ternarix;
• use Ternarix for any commercial purpose without prior written permission;
• upload malicious code or interfere with Ternarix’s operation;
• use Ternarix to violate any law or infringe any rights;
• attempt to circumvent, disable, or interfere with any security or technical measures of the extension or website;
• remove or alter any proprietary notices.

7. User Accounts, Privacy, and Data Handling

7.1 Account Registration

You must create an account to use Ternarix. You agree to provide accurate, current, and complete information and to keep your account information up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

7.2 Data Handling

The Ternarix extension processes webpage text locally in your browser to render ternary overlays. Nichido Solutions Inc. does not collect, store, or transmit the content of the webpages you visit. Account data (email, preferences, progress) is stored on our servers and handled in accordance with our Privacy Policy.

7.3 Feedback

Any suggestions, ideas, or feedback you voluntarily provide regarding the Ternarix Services may be used by Nichido Solutions Inc. without restriction, obligation, or compensation. By submitting feedback, you assign to Nichido Solutions Inc. all right, title, and interest in such feedback.

7.4 Privacy Policy

Your use of Ternarix is also governed by our Privacy Policy, available at: ternarix.com/privacy

8. Third-Party Websites

The Ternarix extension operates on third-party websites by overlaying ternary symbols on existing text content. Nichido Solutions Inc. does not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party websites. Your interaction with third-party websites remains governed by those websites’ own terms and policies.

9. Prohibited Conduct and Termination

Nichido Solutions Inc. reserves the right, at its sole discretion, to refuse service, suspend or terminate accounts, or restrict access to Ternarix to any individual or organisation at any time and for any reason, with or without notice. This includes, but is not limited to:

• unethical, abusive, or inappropriate conduct on or off the platform;
• association with individuals or organisations known to engage in harmful, exploitative, or unlawful practices;
• use of Ternarix in a manner that could damage the reputation or integrity of the service;
• any violation of this Agreement or applicable law.

9.1 Prohibited Content and Conduct

You may not use Ternarix in connection with content that:

• is illegal, harmful, or violates others’ rights;
• contains hate speech, harassment, or discriminatory content;
• infringes copyright, trademark, or other intellectual property rights;
• contains malware, spam, or phishing attempts;
• violates the privacy of others.

10. Disclaimers

THE TERNARIX SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” NICHIDO SOLUTIONS INC. MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT TERNARIX WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH ALL WEBSITES OR BROWSER CONFIGURATIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NICHIDO SOLUTIONS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE TERNARIX SERVICES.

IN NO EVENT SHALL NICHIDO SOLUTIONS INC.’S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO NICHIDO SOLUTIONS INC. FOR THE TERNARIX SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US $100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Nichido Solutions Inc. and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Ternarix Services or your violation of this Agreement.

13. Dispute Resolution and Governing Law

This Agreement is governed by and construed in accordance with the laws of Japan. Any dispute or claim arising from or relating to your use of Ternarix shall be resolved by binding arbitration administered by the Japan Commercial Arbitration Association (JCAA) in accordance with its rules, seated in Tokyo, Japan, except that you may bring claims in small claims court if eligible.

You agree that any dispute will be resolved on an individual basis only. Class actions, class arbitrations, and representative actions are not permitted.

14. Electronic Communications

By using Ternarix, you consent to receive communications from us electronically (including email and in-app notifications). You agree that these electronic communications satisfy any legal requirement that such communications be in writing.

15. Legal Compliance and Export Restrictions

You may not use, export, or re-export Ternarix in violation of any applicable laws, including the export control laws and economic sanctions of Japan, the United States, and any other applicable jurisdiction. You represent and warrant that you are not located in any country subject to comprehensive sanctions and are not on any restricted party list.

16. Children’s Use

Ternarix is available only to users aged 16 and older during the Experiment phase. By using Ternarix, you confirm that you are at least 16 years of age. If you are under 16, you are not permitted to create an account or use the Ternarix Services.

Nichido Solutions Inc. does not knowingly collect personal information from individuals under the age of 16. If we learn that we have collected personal data from someone under 16, we will take steps to delete that information promptly. After the Experiment phase, we may permit access to younger users in compliance with applicable laws and with appropriate parental or guardian consent where required.

Parents or legal guardians who believe we may have collected personal information from their child may contact us to request deletion.

17. Service Modification and Discontinuation

Nichido Solutions Inc. reserves the right to modify, suspend, or discontinue any part of the Ternarix Services (including features, pricing, or availability) at any time, with or without notice. We will make reasonable efforts to notify you of material changes but are not obligated to do so. Nichido Solutions Inc. shall not be liable to you or any third party for any modification, suspension, or discontinuation of the service.

18. Force Majeure

Nichido Solutions Inc. shall not be liable for any failure or delay in performing its obligations under this Agreement caused by events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemic, government action, power failures, internet or telecommunications failures, or third-party service disruptions.

19. Revisions to These Terms

Nichido Solutions Inc. may revise these Terms of Use at any time by posting updated terms on the Ternarix website. Material changes will be communicated via email or a prominent notice on the service. Your continued use of Ternarix after the revised terms become effective constitutes your acceptance of the revised terms. If you do not agree to the revised terms, you must stop using the Ternarix Services.

20. Severability

If any provision of this Agreement is held to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

21. Waiver

The failure of Nichido Solutions Inc. to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. Any waiver of any provision shall be effective only if in writing and signed by Nichido Solutions Inc.

22. Assignment

You may not assign or transfer your rights or obligations under this Agreement without the prior written consent of Nichido Solutions Inc. Nichido Solutions Inc. may assign this Agreement in whole or in part, including in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of its assets, without your consent.

23. Survival

The provisions of this Agreement that by their nature should survive termination shall survive, including but not limited to: Sections 5 (Ownership), 6 (Licence Restrictions), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 13 (Dispute Resolution), and 23 (Survival).

24. Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Nichido Solutions Inc. regarding the Ternarix Services and supersedes all prior agreements, representations, or communications, whether written or oral.
